Nestle Chef-mate Golden Giveaway Promotion (“Promotion”) is open to Foodservice Operators (who are in good standing with their places of employment at the time of entry and at the time of prizes awarded), reside in the 50 United States and District of Columbia and are 18 years of age or older (or 19 years of age or older for residents of AL and NE) (“Entrant”). NESTLÉ USA, Administrator, and their affiliated companies, representatives, agents or employees (collectively, the “Released Parties”) are not responsible for, and shall be indemnified by the prize winner against, any claims, injuries, losses or damages of any kind resulting from acceptance, use, misuse, possession, or loss of the prize. The Promotion is subject to all applicable federal, state, and local laws and regulations. Participation constitutes Entrant's full and unconditional agreement to these Official Rules and Sponsor's decisions, which are final and binding in all matters related to the Promotion. Winning a prize is contingent upon fulfilling all requirements set forth herein.
The Promotion consists of an instant win portion (“Instant Win”) and a sweepstakes portion (“Sweepstakes”). The Sweepstakes begins on July 1, 2017 at 12:00:00 AM ET and ends on December 31, 2017 at 11:59:59 PM ET (the "Sweepstakes Period"). The Instant Win begins on July 1, 2017 at 12:00:00 AM Eastern Time ("ET") and ends on March 31, 2018 at 11:59:59 PM ET (the "Instant Win Period"). The Instant Win Period and Sweepstakes Period collectively are referred to hereinafter as “Promotion Period.”
There are three ways to enter the Instant Win portion of the Promotion and receive an entry into the Sweepstakes portion during the Promotion Period:
6. PRIZES AND APPROXIMATE RETAIL VALUES (“ARV’s”) One (1) Grand Prize – Grand Prize winner will select one (1) of the following five (5) available trip packages, at Grand Prize winner’s sole discretion:
(1) To enter with alphanumeric code found on Chef-mate® Country Sausage Gravy (“Qualifying Product”) cases purchased via a broker during the Promotion Period, visit www.chefmategolden.com (“Website”) to register by providing your name, position, operation name, business phone, email address, business address (city/state/zip code), your Nestle Professional Sales Representative and then agree to these Official Rules. Then, where indicated on the Website, you will need to input the alphanumeric code from the Qualifying Product’s case (“Code”). Upon submitting the Code, an Instant Win message will immediately appear on the Website telling you if you are an Instant Win prize winner or not. Whether or not you are an Instant Win prize winner, you will also automatically receive one (1) entry into the Sweepstakes portion of the Promotion if entry is submitted during the Sweepstakes Period.
(2) To enter with a picture of your receipt showing your Qualifying Product purchased in a store during the Promotion Period (“Receipt”) visit Website to register by providing your name, position, operation name, business phone, email address, business address (city/state/zip code), store in which product was purchased and then agree to these Official Rules. Then, where indicated on the Website, you will need to upload the Receipt, ensuring the purchase date is legible. Upon submitting the Receipt, an Instant Win message will immediately appear on the Website telling you if you are an Instant Win prize winner or not. Whether or not you are an Instant Win prize winner, you will also automatically receive one (1) entry into the Sweepstakes portion of the Promotion if entry is submitted during the Sweepstakes Period.
(3) To enter for free without making a Qualifying Product purchase, email ChefmateGoldenGetaway@brandmovers.com, and you will receive an immediate bounce-back email that contains a free alphanumeric code (“AMOE Code”). Then, register as set forth above, agree to the Official Rules, and input the AMOE Code in the code field on the Website. Upon inputting the AMOE Code, an Instant Win message will immediately appear on the Website telling you if you are an Instant Win prize winner or not. Whether or not you are an Instant Win prize winner, you will also automatically receive one (1) entry into the Sweepstakes portion of the Promotion if entry is submitted during the Sweepstakes Period.
Limit of 184 entries per registered food operator during the Sweepstakes Period and 274 entries during the Instant Win Period. Use of any automated system to participate is prohibited and may result in disqualification. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible or misdirected entries or emails, which may be disqualified. In the event of a dispute regarding who submitted a registration, Entry or who earned an entry will be deemed submitted by the authorized account holder of the e-mail address. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. No automatically generated entries will be accepted.
4. Claiming an Instant Win Prize: Upon receiving your Instant Win prize message informing you that you are a potential winner, Sponsor will automatically ship your Instant Win prize to the address provided during registration. Allow 6-8 weeks for shipment of the Instant Win prize. There will be one hundred and eighty-nine (189) Instant Win prize winners each month for the first eight (8) months of the Instant Win Period (7/1/17-2/28/18) and one hundred and eighty-eight (188) Instant Win prize winners in the final month of the Instant Win Period (3/1/18-3/31/18), which will be awarded to the participant who plays closest to pre-determined times selected randomly by Administrator. Therefore, the odds of winning are based on the time and day the participant submits his/her Code, Receipt or AMOE Code and the order in which such Code, Receipt or AMOE Code is received. Limit of one (1) Instant Win Prize per Operator per month for a total of nine (9) total Instant Win Prizes per Operator.
5. Grand Prize Random Drawing: There will be a Grand Prize random drawing from among all eligible Instant Win entries received during the Sweepstakes Period, to be conducted by Administrator which will occur on or about January 2, 2018. There will be one (1) potential Grand Prize winner who will be selected and notified by email or telephone on or about the day of the random drawing. The potential Grand Prize Winner may be awarded a Grand Prize. Failure of a potential Grand Prize Winner to respond to the notification email or telephone message within seven (7) days, or a return of message notification as undeliverable after three (3) attempts will result in disqualification and an alternate potential Grand Prize Winner may be selected, time permitting. Odds of winning the Grand Prize depend on the number of eligible entries received throughout the Sweepstakes Period.
THE POTENTIAL GRAND PRIZE WINNER IS SUBJECT TO VERIFICATION BY ADMINISTRATOR AND SPONSOR’S DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE SWEEPSTAKES.

Prize includes round trip coach air transportation from a major commercial airport near winner’s residence (at Sponsors’ discretion) to major commercial airport near Coronado, CA as designated by Sponsor in its sole discretion, five (5) nights Sponsor-specified standard hotel accommodations (one room, double occupancy), ground transportation to/from airport and hotel, and a $1,000 gift card as selected by Sponsor in its sole discretion. (ARV up to $8,000.00)
(E) TRIP CHOICE #5: A 6-day/5-night trip for two (2) people (winner & one guest) to Myrtle Beach, SC. Prize includes round trip coach air transportation from a major commercial airport near winner’s residence (at Sponsors’ discretion) to major commercial airport near Myrtle Beach, SC as designated by Sponsor in its sole discretion, five (5) nights Sponsor-specified standard hotel accommodations (one room, double occupancy), ground transportation to/from airport and hotel, and a $1,000 gift card as selected by Sponsor in its sole discretion. (ARV up to $8,000.00)
Any expenses not mentioned herein, including, but not limited to, incidental hotel charges, gratuities, ground transportation (including ground transportation to and from the airport of origin), souvenirs, airline baggage fees and meals are the sole responsibility of the winner. Winner and guest are solely responsible for obtaining all necessary documents required for travel, including passports. Travel must be booked at least 45 days in advance and must be completed by 12/31/18 or Grand Prize will be forfeited in its entirety. Guest accompanying winner must be 18 or older (or 19 if resident of AL or NE), and sign and return release of liability/publicity before travel arrangements will be booked. Additional restrictions may apply. Winner and guest must travel together on the same itinerary. All travel and arrangements are subject to availability. Selection of airline and hotel are solely within Sponsor’s discretion. If Grand Prize Winner resides within 250 miles of the selected destination, airfare will not be provided. Approximate Retail Value: up to $8,000.00; actual value may vary based on airfare fluctuations and point of departure. Any difference between the ARV and the actual value will not be awarded. Once Grand Prize travel arrangements are confirmed, no changes will be permitted. Prize is not transferable and may not be redeemed for cash value. All federal, state and local taxes on prize are the sole responsibility of the winner. Grand Prize consists of only the items specifically listed as the prize. No cash redemptions. No substitutions of prize, except as provided herein. Sponsor reserves the right to substitute prize, or any part thereof, for one of equal or greater value for any reason. By submitting an entry, the winner agrees to allow use of his or her name and/or photo for advertising this or similar Sweepstakes without compensation, unless prohibited. Sponsor shall not be responsible for any cancellations, delays, diversions or substitution or any act or omissions whatsoever by the air carriers, hotels, venue operators, transportation companies, prize providers or any other persons providing any Grand Prize-related services or accommodations. Additional prize award details and travel information to be provided to the Grand Prize winner at the time of notification. Grand Prize winner and guests are also responsible for obtaining travel insurance (and all other forms of insurance) at their option and hereby acknowledge that Sponsor has not and will not obtain or provide travel insurance or any other form of insurance. Lost, stolen or damaged airline tickets, travel vouchers or certificates will not be replaced or exchanged.
One Thousand Seven Hundred (1,700) Instant Win Prizes (189 awarded per month from 7/1/17-2/28/18 and 188 awarded in the final month (3/1/18-3/31/18): A 16.5” Chef-mate Branded Spatula. ARV: $20.00 each.
Total ARV of all prizes is $42,000.00
7. Entry Conditions and Release: By entering, each entrant agrees to: (a) comply with and be bound by these Official Rules and the decisions of the Sponsor which are binding and final in all matters relating to this Sweepstakes; (b) release and hold harmless the Released Parties from and against any and all claims, expenses, and liability, including but not limited to negligence and damages of any kind to persons and property, including but not limited to invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damage, or death or personal injury arising out of or relating to a participant's entry, creation of an entry or submission of an entry, participation in the Sweepstakes, acceptance or use or misuse of prize and/or the broadcast, exploitation or use of entry; and (c) indemnify, defend and hold harmless the Released Parties from and against any and all claims, expenses, and liabilities (including reasonable attorney’s fees) arising out of or relating to an entrant's participation in the Sweepstakes and/or entrant's acceptance, use or misuse of prize.
8. General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, for any reason whatsoever, including, without limitation, fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction or if any fraud, technical failures or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion. If the Sweepstakes is terminated before the designated end date, Sponsor will (if possible) select the Winners in a random drawing from all eligible, non-suspect entries received as of the date of the event giving rise to the termination. Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Only the type and quantity of prizes described in these Official Rules will be awarded. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
9. Limitations of Liability: The Released Parties as set forth above are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Sweepstakes or receipt or use or misuse of any prize. If for any reason an Entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant's sole remedy is another Entry in the Sweepstakes, provided that if it is not possible to award another Entry due to discontinuance of the Sweepstakes, or any part of it, for any reason, Sponsor, at its discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the Prizes offered herein. Entrant further agrees and acknowledges that Sponsor reserves the right to forfeit or award any unclaimed or leftover Prize at its sole discretion. If due to a computer programming or other error, more prizes are claimed than intended to be awarded, prizes will be awarded in a random drawing from among all valid prize claims received. If a drawing is required, it will be conducted by the administrator of the Instant Win portion of the Promotion, who is independent from Sponsor, and whose decisions shall be final. In no event will Sponsor be liable for more than the stated number of prizes. All potentially winning Codes are subject to verification at the sole discretion of the Sponsor. If, for any reason, Instant Win portion of the Promotion is not capable of running as planned by reason of infection by computer virus, worms, bugs, tampering, hacking, unauthorized intervention, fraud, technical failures or any other causes which, in the sole opinion of the Sponsor, corrupt or affect the administration, security, fairness, integrity or proper conduct of this Instant Win portion of the Promotion, Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend Instant Win portion of the Promotion, and randomly determine winners from eligible, non-suspect Codes received prior to action taken, or as otherwise deemed fair and equitable by Sponsor.
10. Disputes/Governing Law: Entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, other than those concerning the administration of the Sweepstakes or the determination of Winners or for any disputes arising from the loss or injury from the participation in a Prize, shall be resolved individually, without resort to any form of class action; (ii) any disputes arising out of these Official Rules (except for any disputes arising from the loss or injury from the use of Prizes) shall be submitted to final, binding arbitration conducted in Los Angeles County under the Arbitration Rules and Procedures of the Judicial Arbitration and Mediation Services Inc. before a single, neutral arbitrator who is a former or retired California state or federal court judge with experience in entertainment matters who shall follow California law and the Federal Rules of Evidence and have no authority to award punitive damages. Either party may enforce a final arbitration award in any court of competent jurisdiction in Los Angeles County, including an award of costs, fees and expenses incurred in enforcing the award. Notwithstanding the foregoing, Released Parties shall be entitled to seek injunctive relief (unless otherwise precluded by any other provision of these Official Rules) in the state and federal courts of Los Angeles County. Any dispute or portion thereof, or any claim for a particular form of relief (not otherwise precluded by any other provision of these Official Rules), that may not be arbitrated pursuant to applicable state or federal law may be heard only in a court of competent jurisdiction in Los Angeles County; (iii) any and all claims, judgments and awards shall be limited to actual out-of- pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys' fees; and (iv) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out- of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.
