Eligibility

The Nestlé Family Sweepstakes (the "Sweepstakes") is open only to legal residents of the fifty (50) United States (including the District of Columbia), who are eighteen (18) years or older at the time of entry (or 19 for residents of AL and NE). Void in Guam, Puerto Rico, the U.S. Virgin Islands and other U.S. territories and possessions and where prohibited by law. No purchase necessary to enter the Sweepstakes. Employees of NESTLÉ USA, 800 N Brand Blvd, Glendale, CA 91203 (the "Sponsor"), Brandmovers, Inc., 590 Means Street, Suite 250, Atlanta, GA 30318 ("Administrator”), Ibotta, Inc., 1900 16th St #400, Denver, CO 80202, Nestlé Purina PetCare Company, Checkerboard Square, St. Louis, MO 63164, Nestlé Waters North America Inc., 900 Long Ridge Rd, Building 2, Stamford, CT 06902, Nestlé HealthCare Nutrition, Inc., 12 Vreeland Road, Florham Park, NJ 07932 or any of their respective affiliates, subsidiaries, advertising agencies, or any other company or individual involved with the design, production execution or distribution of the Sweepstakes (collectively with Sponsor and Administrator, the "Sweepstakes Entities") and their immediate family (spouse, parents and step-parents, siblings and step-siblings, and children and step-children) and household members of each such employee are not eligible to enter or win. The Sweepstakes is subject to all applicable federal, state, municipal, and local laws and regulations. Participation constitutes entrant's full and unconditional agreement to these Official Rules and Sponsor's decisions, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein.

Sweepstakes Period

The Sweepstakes begins on January 2, 2016 at 12:00:00 PM (noon) Eastern Time ("ET") and ends on May 21, 2016 at 11:59:59 AM ET (the "Sweepstakes Period"). The Website clock is the official timekeeper for this Sweepstakes.

The Sweepstakes consists of two separate elements: (1) the daily sweepstakes portion (“Daily Prize Pool”); and (2) the weekly sweepstakes portion (“Weekly Prize Pool”).

Each Daily Prize Pool begins at 12:00:00 PM (noon) ET and ends at 11:59:59 AM ET the following day, each day throughout the Sweepstakes Period (each, a “Daily Prize Period”). Non-winning entries from any Daily Prize Period WILL be carried over to subsequent Daily Prize Pools. Sponsor reserves the right in its sole discretion to award less than the stated number of Daily Prizes in the event there are not a sufficient number of eligible Daily Prize Pool entries received in any Daily Prize Pool.

Each Weekly Prize Pool begins at 12:00:00 PM (noon) ET on Saturday and ends at 11:59:59 AM ET on Saturday of each week throughout the Sweepstakes Period, (each a “Weekly Prize Period”, collectively, “Weekly Prize Periods”). There will be a total of twenty (20) Weekly Prize Periods during the Sweepstakes Period. The Weekly Prize Periods are outlined in the chart below:

How to Enter the Daily Prize Pool:

a. Twitter: Log-in to or create your Twitter account. Then, tweet a photo of your favorite Nestlé product or a photo of a family gathering of any size (“Photo”), or to enter without sharing a Photo, provide a short story describing your favorite Nestlé product or family gathering (“Story”), and tag the Photo or Story with the hashtag #NestleFamilySweepstakes to receive one (1) entry (“Daily Entry”) into the applicable Daily Prize Pool. Your account settings must be set to "unprotected" and/or "public" in order for your tweets to be viewable by Sponsor and its agents. Creating a Twitter account is free, but is subject to its terms and conditions (https://twitter.com/tos). If you post updates to or receive updates from www.twitter.com from your wireless mobile device, then standard data rates may apply. Please consult your wireless-service provider regarding its pricing plans.

b. Instagram: Log-in to or create your Instagram app account. Then, post a Photo of your favorite Nestlé product or a Photo of a family gathering of any size and tag the Photo with the hashtag #NestleFamilySweepstakes to receive one (1) Daily Entry into the applicable Daily Prize Pool. In order for your entry to be valid, your Instagram profile must be public, and thus, viewable by the Sponsor and its agents. Your post must be consistent with Instagram's terms (http://instagram.com/about/legal/terms/#). If you post a photo on Instagram from your wireless device, then standard data rates may apply. Please consult your wireless-service provider regarding its pricing plans.

Regardless of whether a person has more than one (1) Twitter account, Instagram account, or if more than one (1) person uses the same Twitter account, or Instagram account, Daily Entries are limited to one (1) per day per person, for a total of one hundred forty (140) Daily Entries during the Sweepstakes Period. Each entrant must be a registered user, in good standing, of Twitter and/or Instagram, as applicable. All Daily Entries must be received by 11:59:59 AM ET each day throughout the Sweepstakes Period to be entered into that day’s Daily Prize Pool, and by 11:59:59 a.m. ET on May 21, 2016 to be entered into the final Daily Prize Pool.

All Photos uploaded may appear in the photo gallery at the Website (www.NestleFamily.com). Selection of Photos to appear in the gallery is in Sponsor’s sole discretion. Photos will be moderated and must meet the photo requirements set forth below. If the Photos do not meet the photo requirements, in Sponsor’s sole discretion, entrant will NOT receive an entry into the Sweepstakes for that Photo. Please allow 24 – 48 hours for Photos to appear in gallery. Not all eligible Photos will appear in the photo gallery at Sponsor’s sole discretion. Eligible Photos that do not appear in the photo gallery will still earn entrant one (1) Daily Entry into the applicable Daily Prize Pool.

How to Enter the Weekly Prize Pool

There are three (3) ways to enter the Weekly Prize Pool portion of the Sweepstakes:

Then, visit Website (www.NestleFamily.com) to fill out the online official entry form located on the Website by providing your first name, last name, email address and date of birth (collectively, “Entry Form”). Entrant must agree to the Official Rules and Terms of Use, then submit the Entry Form and upload his/her Receipt. Upon completion, entrant will receive one (1) entry into the Weekly Prize Pool; or

(2) Ibotta App: Download the free Ibotta App from the App store on your mobile device. Once you have downloaded the App onto your mobile device, register on the App. Then, each month during the Sweepstakes Period, find the Nestlé monthly offer on Ibotta during any Weekly Prize Period, or until the monthly Nestlé offer expires and no longer appears on Ibotta, whichever occurs first, and take a photo of a Receipt (defined above) to automatically receive one (1) entry into the corresponding Weekly Prize Pool.

(3) Email: To enter without making a purchase and without submitting a Receipt, during the Weekly Prize Period, send an email with your first name, last name, email address, telephone number and birth date to Nestle150Sweeps@brandmovers.com with “Nestle Family Sweepstakes Entry” in the Subject line of the email.

Each online entry, Ibotta App entry and email entry (each a “Weekly Entry”, collectively “Weekly Entries”) must be received by 11:59:59 AM ET on Saturday of each week throughout the Sweepstakes Period to receive an entry into that week’s Weekly Prize Pool. Regardless of whether a person has more than one (1) email address, or if more than one (1) person uses the same email address, or Ibotta account, limit three (3) Weekly Entries per person, per day. Any attempts by an entrant to submit more than three (3) Weekly Entries per day, or more than twenty-one (21) total Weekly Entries in any Weekly Prize Pool, may result in such entrant being disqualified.

The Daily and Weekly Pool Entries may hereafter be referred to as “Entry” or “Entries”.

Any attempt by any participant to enter by using multiple/different email addresses, Ibotta, Twitter, or Instagram accounts, identities, registrations and logins, or any other methods will void that participant's entries and that participant may be disqualified, at the sole discretion of Sponsor. Use of any automated system to participate is prohibited and may result in disqualification. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible or misdirected entries, which may be disqualified. In the event of a dispute regarding who submitted a registration, Entry or who earned an Entry will be deemed submitted by the authorized account holder of the e-mail address connected with the Entry Form, phone number connected with the Ibotta Entry, or via direct message on the Twitter or Instagram account from which the Entry was submitted. "Authorized account holder" is defined as the natural person who is assigned to a phone number by their mobile provider and/or an e-mail address by Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. No automatically generated entries will be accepted.

Privacy Policies and Data Collections

Information provided by you for this Sweepstakes on the entry form, including a Receipt, Story or Photo, is subject to Administrator’s Privacy Policy:http://www.brandmovers.com/legal/privacy; the Ibotta privacy policy:https://ibotta.com/docs/privacy; or Sponsor’s privacy policy: http://privacy.nestleusa.com/ as applicable. By entering this Sweepstakes, each entrant agrees that the Sponsor and/or Administrator has the right to contact the entrant by phone, direct message, or email accounts provided on the Entry Form to administer and fulfill this Sweepstakes.

This Sweepstakes is in no way sponsored, endorsed or administered by, or associated with Instagram or Twitter. Instagram and Twitter are registered trademarks. Such use is not intended to suggest or imply the sponsorship, endorsement, or the approval of this Sweepstakes by Instagram, or Twitter. By providing information in the Sweepstakes, you are providing information to Sponsor, Administrator and/or Ibotta, and not to Instagram or Twitter.

Photo and Story Requirements, Restrictions and License

1. Entrants agree to and understand that the Photo(s) and Story (Stories) will be made available to the public, including without limitation, posting on the Internet. Whether or not a Photo is published on the Internet, Sponsor makes no representation or warranty regarding the confidentiality of any Photo or Story.

2. Each Photo and Story must be taken/written by entrant and be an original creation of the submitting entrant. Each Photo and Story must be under no restriction, contractual or otherwise, that will prevent Sponsor's use of Photo or Story, and each Photo and Story must be free of any and all liens, encumbrances and claims of third parties. Entrant acknowledges, agrees, represents and warrants that, nothing in each Photo or Story infringes on any copyrights, confidential information, trade secrets or trademarks belonging to any person or entity other than the entrant absent a suitable license, clearance or permission agreement (proof of which may be required upon submission), or violates any person's rights of privacy or publicity and that all necessary releases and permissions have been secured from anyone appearing in each Photo or Story, or any person or entity with any rights in or to the Photo or Story. Entrant agrees to indemnify and hold harmless each of the Sweepstakes Entities, Instagram, Twitter, the prize suppliers and any other organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Sweepstakes, and their respective parent, subsidiaries, and affiliates and each of their respective officers, directors, members, employees, agents and subcontractors (collectively, the “Released Parties”), from and against any and all claims, demands, damages, costs, liabilities and causes of action of whatsoever nature that are based upon or arise out of any breach by entrant of these Official Rules or the warranties and representations made by entrant herein. Modifying, enhancing or altering a third party's preexisting work does not qualify as entrant's original creation.

3. By sharing the Photo or Story, the entrant grants Sponsor, for no additional compensation other than entry into the Sweepstakes, a non-exclusive, worldwide, royalty free, perpetual license to use, publish, make available to the public, reproduce, edit, modify, exploit, make derivative works from or otherwise use the Photo or Story in any and all media available at any time during, or after, the Sweepstakes Period, on any related websites, in any promotional materials, whether related or un-related to the Sweepstakes, and at any other location, whether physical or online, that Sponsor, in its sole discretion, deems appropriate. In addition, entrant warrants that any so called "moral rights" in the Photo or Story have been waived and entrant acknowledges and agrees that Sponsor may use any ideas from any Photo or Story or other submitted materials, whether or not entrant has been awarded a prize in connection with any such Photo or Story, or other materials.

4. Entrant agrees to release, defend, indemnify and hold harmless each of the Released Parties, from all claims, demands, and causes of action of any nature whatsoever which entrant or Entrant's heirs, representatives, executors, administrators, or any other persons acting on entrant’s behalf or on behalf of entrant’s estate, have or may have by reason of: (i) Sponsor's exercise of any rights granted by entrant in this paragraph; (ii) claims based on violation of any right of publicity or rights of personality, infringement of copyright or trademark, libel, slander, defamation, invasion of privacy, loss of earnings or potential earnings in connection with Sponsor's use of the Photo and any portion thereof, or the likeness of any natural person therein.

5. Entrant must have permission from all individuals that appear in a Photo or Story to use their likenesses in the Photo or Story and to grant the rights set forth herein. If any individual appearing in a Photo or Story is a minor in his/her state of residence, then entrant must have permission from such minor’s parent/legal guardian to use minor’s likeness in the Photo or Story and to grant the rights set forth herein. If requested, entrant must be able to provide such permissions in a form acceptable to Sponsor.

Photo and Story Content Restrictions

Photos and Story(ies) must not contain material that:

1. Contains or depicts someone smoking or intoxicated;

2. Violates or infringes another's rights, including without limitation, privacy, publicity or intellectual property rights, or that constitutes copyright infringement;

3. Contains material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;

4. Contains any unacceptable clothing or adornments, or displays any commercial/corporate advertising other than that of Sponsor;

5. Contains indecent or unsafe behavior or situations, profanities or obscenities, including but not limited to nudity, or pornography, or is otherwise inappropriate, indecent, profane, obscene, hateful, tortuous, slanderous or libelous;

6. References persons or organizations without their written permission;

7. Disparages any persons or organizations;

8. Includes threats to any person, place, business, or group;

9. Is unlawful, in violation of or contrary to all applicable federal, state, or local laws and regulations.

10. Does not comply with the terms or conditions or guidelines posted by Twitter or Instagram.

Failure of any Photo and/or Story to comply with the above "Photo and Story Requirements, Restrictions and License" and "Photo and Story Content Restrictions," as determined by Sponsor, in its sole discretion, may result in disqualification of entrant. Without limitation, Sponsor reserves the right in its sole discretion to disqualify any Entry that, in their sole opinion, refers, depicts or in any way reflects negatively upon the Sponsor, the Sweepstakes or any other person or entity, does not comply with these Official Rules or if Sponsor receives notification about any potential infringements or breaches of law or any other reason set forth herein. All Entries shall become the exclusive property of Sponsor and will not be returned. Photos and stories must be suitable for presentation in a public forum, in the sole determination of Sponsor.

Winners Selection

There will be a total of one thousand four hundred (1,400) daily winners (10 per Daily Prize Pool), and twenty (20) weekly winners (one (1) per Weekly Prize Pool) in this Sweepstakes. Daily winners and Weekly winners will be randomly selected from each applicable Prize Pool (winners of each are set forth in the Prize section below) by Administrator from among all eligible Entries received in each applicable Prize Pool throughout the Sweepstakes Period. Non-winning entries from any Daily Prize Period WILL be carried over to subsequent Daily Prize Pools. Non-winning entries from any Weekly Entry Period WILL be carried over to subsequent Weekly Prize Pools.

Limit one (1) Daily Prize Pool winner per person/household during the entire Sweepstakes Period; any Daily Prize Pool winner is still eligible to win a Weekly Prize by following the Weekly Prize entry mechanisms described above. Limit one (1) Weekly Prize Pool winner per person/household during the entire Sweepstakes Period.

The Daily Prize Pool drawings will occur on or about the next business day following each Daily Prize Period. The Weekly Prize Pool drawings will occur on or about the first Monday following the end of each Weekly Prize Period. Daily winners and weekly winners may be collectively referred to as “Winner(s)”. Potential weekly winners will be contacted via his/her email as provided on the entry form, and potential daily winners will be contacted via Twitter and/or Instagram direct message, and each potential Winner may be awarded a Prize (subject to verification of eligibility and compliance with the terms of these rules.) Sponsor's decisions as to the administration and operation of the Sweepstakes and the selection of potential Winners are final and binding in all matters related to the Sweepstakes. Administrator will send a notification message ("Message") to each potential Winner’s email account or by direct message on or about the same day of the applicable Drawing Date.

Failure of a potential weekly Winner to respond to the Message within five (5) days of notification, or return of message notification as undeliverable after three (3) attempts will result in disqualification and an alternate potential weekly Winner may be selected, time permitting. Failure of a potential daily Winner to respond to the Message within three (3) days of notification, or return of message notification as undeliverable after two (2) attempts may result in disqualification and an alternate potential daily winner may be selected, time permitting. Odds of winning depend on the number of eligible entries received for each Daily and Weekly Prize Pool.

THE POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION BY ADMINISTRATOR AND SPONSOR’S DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE SWEEPSTAKES.

Verification of Potential Winners

In order to be confirmed as a Winner, and without limitation of any other terms herein, each potential Winner may be required upon Sponsor’s reasonable request to provide satisfactory proof, as determined by Sponsor in its sole discretion, that such potential Winner is an eligible entrant, including but not limited to providing a copy of a potential Winner’s government-issued identification and/or additional information required by Sponsor in order to verify eligibility and compliance with these Official Rules. Weekly Winners will be required to sign and return to Administrator, within five (5) days of the date notice is sent, an affidavit of eligibility, and a liability/publicity release (except where prohibited), in order to claim his/her prize, or such other documents as Sponsor deems necessary, in its sole discretion (collectively, “Prize Claim Documents”). If a potential Winner cannot be contacted, fails to sign and return the Prize Claim Documents (if required) within the required time period, such potential Winner may be disqualified and may forfeit his/her prize. In the event that a potential Winner is disqualified for any reason, Sponsor may award the prize to an alternate winner by random drawing from among all remaining eligible Entries, time permitting.

Prizes

Twenty (20) Weekly Prizes (one (1) awarded per Weekly Prize Pool) - Twenty (20) Weekly winners will each be awarded the following:

A family reunion trip for each Weekly Prize winner and his/her family members and friends (the “Guests”), to a Weekly Prize winner selected and Sponsor approved location. NOTE: Actual number of Guests will be determined based on how many Guests fit within the ARV, defined below. Each Weekly Prize winner and his/her Guest(s) shall collectively be referred to as a “Weekly Prize Group”. Each Weekly Prize MAY include: (a) Round trip coach airfare for the Weekly Prize Group between the major gateway airport nearest the Weekly Prize winner’s residence (selected in Sponsor’s sole discretion) and Weekly Prize location; (b) Hotel accommodations at Sponsor approved hotel (standard rooms) for a to-be-determined (based on the value allowed) specified length of time; (c) ground transportation between airport and Sponsor selected hotel; and (d) one thousand dollar ($1,000) gift card towards meals, taxes, and any other incidentals.

Approximate Retail Value (“ARV”) of each Weekly Prize: up to $15,000 USD. ARV may vary from actual value, depending on date and point of departure and actual number of Guests. Any difference between stated and actual value shall not be awarded. In the event a Weekly Prize winner does not wish to take the trip as stated herein, he/she may chose a cash alternative in lieu of travel in the amount of $15,000.00 USD.

Prize Restrictions and Limitations

Weekly Prize: Guests must be at least 18 years old, or the age of majority in his/her jurisdiction of residence, unless: (a) such minor Guest is the child or legal ward of a Weekly Prize winner; or (b) such minor Guest is accompanied by their parent/legal guardian as one (1) of the Weekly Prize winner’s Guests.

All Weekly Prize-related travel arrangements will be administered by Sponsor’s authorized designee. Weekly Prize travel is subject to capacity controls, availability, weather, seasonal influences, and certain other restrictions, all of which are subject to change. No changes will be made to travel details once any element(s) of the travel arrangements have been booked, except at Sponsor’s sole discretion. Sponsor will not replace any lost or stolen tickets, travel vouchers or certificates or similar items once they are in a Winner’s possession or in the possession of a Guest. Once hotel and flight arrangements have been confirmed, no changes will be allowed except by Sponsor in its sole discretion. No refund or compensation will be made in the event of the cancellation or delay of any flight. If a Weekly Prize winner elects to travel without a Weekly Prize Group, then no additional compensation will be awarded to such Winner.

Each Weekly Prize is non-refundable and non-transferable. Each Weekly Prize winner must book his/her travel arrangements through Sponsor’s authorized designee by 12/31/2016 and commence travel by 06/30/2017. Weekly Prizes may not be combined with any other coupon, certificates, discount, bonus, infant fare, upgrade, or promotional offers/tickets. Void if altered. Reservations must be made through Sponsor or its agent and tickets issued prior to departure. Booking and travel dates must fall into the range as specified. Changes to reservations, once made, are not permitted. Substitutions will not be allowed. Travel is subject to availability.

Each Weekly Prize winner and his/her Guests hereby acknowledge that Sponsor has not and will not obtain or provide travel insurance or any other form of insurance for any part of the Weekly Prize. It is the responsibility of each Weekly Prize winner and his/her Guests to arrive at the designated gateway airport in time for each flight that is part of each Weekly Prize.

Each Weekly Prize winner and his/her Guest(s) are responsible for all in-room charges (e.g., mini-bar, movies), transportation not specified herein, telephone calls, meals, beverages, gratuities, upgrades, personal incidentals, amenities, and any other fees and expenses not specifically mentioned in these Official Rules. Each Weekly Prize winner will be required to provide a major credit card upon hotel check-in and all in-room charges will be charged to the credit card. Any damage to any Weekly Prize winner’s room attributed to a Weekly Prize Group will be the responsibility of the applicable Weekly Prize winner. Each member of a Weekly Prize Group will be required to provide a valid government issued photo ID at time of travel. Photo identification and credit card or cash deposit may be required at check-in for incidental charges (e.g., room service, use of telephone/IT services, laundry and all other optional extra services not provided in the Weekly Prizes).

Sponsor bears no responsibility if any event, element or detail of a Weekly Prize is canceled, postponed or becomes unavailable for any reason. Should any event, element or detail of a Weekly Prize become unavailable, Sponsor shall have no obligation to the applicable Weekly Prize winner aside from providing the travel portion of the applicable Weekly Prize, minus any unavailable event, element or detail. Each Weekly Prize Group shall be subject to all terms and conditions printed on any ticket issued in conjunction with each Weekly Prize. In the event any Weekly Prize winner and/or Guest(s) is denied entry into any ticketed location or is removed or barred from any ticketed location for any other reason, Sponsor is not responsible and no further compensation or award will be provided.

Each Weekly Prize winner may not charge his/her Guest(s) for participating in his/her Weekly Prize Trip. Airline tickets issued in conjunction with any Weekly Prize are not eligible for frequent flyer miles, and no code share flights may be used. No one-way trips or upgrades allowed. Unless otherwise necessitated by Sponsor, no stopovers are permitted on tickets issued as part of a Weekly Prize; if a stopover otherwise occurs, such Weekly Prize Trip may terminate and full fare may be charged from the stopover point for the remaining trip segment(s), including the return. Each Weekly Prize winner is solely responsible for any and all excess baggage charges, taxes and any other charges incurred after or in connection with the issuance of airline tickets.

One thousand four hundred (1,400) Daily Prizes (ten (10) awarded per day) - Each Daily Prize listed below will be placed into a random drawing and randomly selected during each Daily Prize Pool drawing to determine which Daily Prize will be awarded to each Daily Prize winner:

All Prizes: Weekly Prize and Daily Prizes may be referred to herein as “Prize” or “Prizes” All Prizes will be awarded provided they are validly claimed by August 30, 2016, after which no alternate potential Winners will be selected, nor unclaimed Prizes awarded. Prizes cannot be used in conjunction with any other promotion or offer. Prize elements may not be separated. In the event any portion of a Prize cannot be awarded as stated, that portion of the Prize will go unawarded. Costs and expenses associated with each Prize acceptance and use not specifically stated herein as being provided are the sole responsibility of the applicable Winner including additional ground transportation, meals, gratuities and souvenirs. No interest will be awarded on cash prizes. Prizes are subject to availability, non-transferable, non-negotiable, non-refundable and no substitution will be made except as provided herein at the Sponsor's sole discretion. All gift cards are subject to their terms, conditions and restrictions. Sponsor reserves the right to substitute a Prize for one of equal or greater value for any reason. All taxes (including, without limitation, state and federal income taxes) and the reporting consequences thereof associated with the use and acceptance of a Prize is solely the responsibility of each Winner. Each Weekly winner will receive an IRS Form 1099 reflecting the actual retail value of his/her Prize. Sponsor makes no warranties, and hereby disclaims any and all warranties, express or implied, concerning any Prize furnished in connection with the Sweepstakes. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SUCH PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT. Allow 4-6 weeks for delivery of all Daily Prizes.

Entry Conditions and Release

By entering, each entrant agrees to: (a) comply with and be bound by these Official Rules and the decisions of the Sponsor which are binding and final in all matters relating to this Sweepstakes; (b) release and hold harmless the Released Parties from and against any and all claims, expenses, and liability, including but not limited to negligence and damages of any kind to persons and property, including but not limited to invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damage, or death or personal injury arising out of or relating to a participant's entry, creation of an entry or submission of an entry, participation in the Sweepstakes, acceptance or use or misuse of prize and/or the broadcast, exploitation or use of entry; and (c) indemnify, defend and hold harmless the Released Parties from and against any and all claims, expenses, and liabilities (including reasonable attorney’s fees) arising out of or relating to an entrant's participation in the Sweepstakes and/or entrant's acceptance, use or misuse of prize.

General Conditions

Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, for any reason whatsoever, including, without limitation, fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction or if any fraud, technical failures or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion. If the Sweepstakes is terminated before the designated end date, Sponsor will (if possible) select the Winners in a random drawing from all eligible, non-suspect entries received as of the date of the event giving rise to the termination. Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Only the type and quantity of prizes described in these Official Rules will be awarded. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

Limitations of Liability

The Released Parties as set forth above are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Sweepstakes or receipt or use or misuse of any Prize. If for any reason an Entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant's sole remedy is another Entry in the Sweepstakes, provided that if it is not possible to award another Entry due to discontinuance of the Sweepstakes, or any part of it, for any reason, Sponsor, at its discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the Prizes offered herein. Entrant further agrees and acknowledges that Sponsor reserves the right to forfeit or award any unclaimed or leftover Prize at its sole discretion.

Disputes/Governing Law

Entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, other than those concerning the administration of the Sweepstakes or the determination of Winners or for any disputes arising from the loss or injury from the participation in a Prize, shall be resolved individually, without resort to any form of class action; (ii) any disputes arising out of these Official Rules (except for any disputes arising from the loss or injury from the use of Prizes) shall be submitted to final, binding arbitration conducted in Los Angeles County under the Arbitration Rules and Procedures of the Judicial Arbitration and Mediation Services Inc. before a single, neutral arbitrator who is a former or retired California state or federal court judge with experience in entertainment matters who shall follow California law and the Federal Rules of Evidence and have no authority to award punitive damages. Either party may enforce a final arbitration award in any court of competent jurisdiction in Los Angeles County, including an award of costs, fees and expenses incurred in enforcing the award. Notwithstanding the foregoing, Released Parties shall be entitled to seek injunctive relief (unless otherwise precluded by any other provision of these Official Rules) in the state and federal courts of Los Angeles County. Any dispute or portion thereof, or any claim for a particular form of relief (not otherwise precluded by any other provision of these Official Rules), that may not be arbitrated pursuant to applicable state or federal law may be heard only in a court of competent jurisdiction in Los Angeles County; (iii) any and all claims, judgments and awards shall be limited to actual out-of- pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys' fees; and (iv) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out- of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.
